Welcome to SouthMiniSplits.com. These Terms of Service govern your use of the South Mini Splits website and your purchase of products or services from South Mini Splits.
Throughout these Terms, “South Mini Splits,” “we,” “us,” and “our” refer to SouthMiniSplits.com and its operating entity, Comfortside West LLC. “You” and “customer” refer to any individual or organization using this website or purchasing products from us.
By accessing our website, placing an order, requesting a quote, creating an account, or otherwise doing business with South Mini Splits, you agree to these Terms of Service and all policies incorporated into them by reference.
If you do not agree with these Terms, please do not use the website or place an order.
1. Eligibility and Authorized Purchases
You must be legally capable of entering into a binding agreement to place an order with South Mini Splits.
If you are purchasing on behalf of a business, contractor, property owner, government entity, or other organization, you represent that you have authority to make the purchase and agree to these Terms on that organization's behalf.
Certain HVAC products, refrigerants, components, or installation activities may be subject to licensing, permitting, environmental, safety, or other regulatory requirements. The purchaser and installer are responsible for complying with all applicable laws and regulations.
2. Product Information
South Mini Splits sells HVAC equipment, parts, accessories, controls, installation materials, and related products from multiple manufacturers.
We make reasonable efforts to ensure that product descriptions, specifications, images, compatibility information, pricing, documentation, and availability are accurate. However, manufacturers may revise products, specifications, packaging, model numbers, components, appearance, or documentation without notice.
Product photographs may be representative and may not depict every variation of a product.
In the event of a conflict between information on our website and official manufacturer documentation, the manufacturer's current technical documentation generally controls.
Customers should verify critical specifications before ordering.
3. Equipment Selection, Sizing, and Compatibility
The customer is responsible for ensuring that equipment is appropriate for the intended application.
Any product recommendation, system builder, BTU estimate, calculator, customer service recommendation, or other sizing assistance provided by South Mini Splits is intended as general purchasing assistance and is not a substitute for an HVAC load calculation, engineering analysis, jobsite inspection, or professional system design.
Actual heating and cooling requirements can vary significantly based on factors including:

South Mini Splits does not guarantee that equipment selected solely through an online calculator, product recommendation, customer-provided information, or estimated square footage will properly condition a particular space.
For multi-zone systems, replacement components, technical parts, controls, and other compatibility-sensitive products, customers should confirm compatibility before purchase.
4. Professional Installation
HVAC equipment should be installed, commissioned, serviced, and repaired by appropriately qualified professionals.
Many manufacturers require installation by a licensed HVAC contractor as a condition of warranty coverage.
The customer and installer are responsible for:

South Mini Splits is not responsible for damage, failure, reduced performance, loss of warranty coverage, or other problems caused by improper installation, incorrect application, unauthorized modification, improper maintenance, incorrect electrical supply, improper refrigerant handling, or failure to follow manufacturer instructions.
5. Orders and Order Acceptance
Submitting an order does not guarantee acceptance of the order.
After an order is placed, South Mini Splits may review the order for payment authorization, product availability, pricing accuracy, shipping eligibility, fraud prevention, compatibility concerns, or other issues.
We reserve the right to reject, place on hold, or cancel an order before shipment when reasonably necessary.
An automated order confirmation indicates that we have received your order. It does not necessarily mean that the order has been accepted or shipped.
6. Pricing and Errors
Prices are displayed in U.S. dollars unless otherwise indicated.
We attempt to maintain accurate pricing, but typographical errors, incorrect discounts, software errors, manufacturer price changes, incorrect shipping calculations, and other mistakes may occasionally occur.
If an item is listed at an incorrect price or an order contains a material pricing error, South Mini Splits may cancel the affected item or order and issue a refund of amounts paid.
We may also contact the customer and offer the opportunity to proceed at the corrected price.
Promotional pricing, coupons, discounts, financing offers, and other promotions may be modified or discontinued unless prohibited by applicable law.
7. Availability and Backorders
Inventory information is provided in good faith but is not guaranteed.
Products may become unavailable after an order is submitted due to simultaneous purchases, inventory discrepancies, manufacturer shortages, warehouse errors, transportation problems, or other circumstances.
If an item becomes unavailable, we may:

Offer an alternative product;

Place the product on backorder;

Ship available portions of an order separately; or
-
Cancel and refund the unavailable item.
Estimated availability and delivery dates are estimates unless expressly guaranteed in writing.
8. Payment
Payment must be made using an accepted payment method.
Depending on the transaction, South Mini Splits may accept credit cards, debit cards, ACH transfers, wire transfers, financing, or other payment methods.
Orders may be held until payment has cleared or been verified.
Customers are responsible for providing accurate billing and payment information.
We may request additional verification for unusually large orders, high-risk transactions, mismatched billing information, freight orders, or transactions flagged by payment or fraud-prevention systems.
9. Taxes and Resale Purchases
Applicable sales tax may be collected based on the shipping destination, transaction type, product type, and applicable tax requirements.
Customers requesting tax-exempt or resale treatment must provide valid documentation acceptable to South Mini Splits.
Providing a resale certificate does not automatically mean that every transaction qualifies for tax-exempt treatment.
The purchaser remains responsible for any use tax, sales tax, or other tax obligations that are legally the purchaser's responsibility.
10. Shipping and Delivery
Orders are shipped using parcel carriers, freight carriers, manufacturer distribution networks, local delivery services, or other transportation providers depending on the product and destination.
Shipping dates and delivery dates are estimates unless South Mini Splits expressly agrees otherwise in writing.
Delivery may be affected by circumstances outside our control, including:

Appointment scheduling

Government restrictions
Additional charges may apply for services such as residential freight delivery, liftgate service, limited-access delivery, redelivery, address correction, storage, inside delivery, or other special freight services.
The customer is responsible for providing a complete and accurate shipping address and for being available for scheduled freight deliveries.
Our complete Shipping & Delivery Policy is incorporated into these Terms by reference.
11. Inspection and Shipping Damage
Customers should inspect shipments as soon as reasonably possible and inspect freight deliveries before signing for them whenever possible.
Visible damage should be documented on the carrier's delivery paperwork before the shipment is accepted.
If freight has significant visible damage, the customer should photograph the damage and contact South Mini Splits immediately. Depending on the circumstances, the customer may need to refuse the damaged portion of the shipment or the entire shipment.
Minor cosmetic damage that does not affect operation may be handled differently from significant freight damage.
Failure to document visible freight damage may limit the remedies available through the carrier.

12. Returns and Cancellations
Returns and cancellations are governed by the South Mini Splits Return & Cancellation Policy, which is incorporated into these Terms by reference.
Among other requirements:

Return requests must be made within the applicable return window.

Returned equipment must meet eligibility and condition requirements.

Used or installed equipment is generally not returnable.

Restocking fees may apply.

Shipping charges may be deducted when applicable.

Orders canceled after processing begins may be subject to cancellation fees.

Certain products and technical parts may be final sale.

Open Box merchandise is subject to separate return requirements.
Customers must obtain return authorization before sending merchandise back to South Mini Splits.
Sending merchandise to us without authorization does not guarantee that the merchandise will be accepted or refunded.
13. Technical Parts and Replacement Components
HVAC replacement parts and other technical components frequently require exact model, serial number, revision, voltage, capacity, or part-number matching.
Unless South Mini Splits ships a different product from the item ordered, customers are responsible for determining that the part ordered is correct for their equipment.
Technical parts identified as final sale or non-returnable may not be returned because a customer ordered an incorrect part or later determines that the part is incompatible.
Customers are strongly encouraged to confirm the required part number with their HVAC contractor or the manufacturer's technical support department before purchasing.
14. Manufacturer Warranties
Most HVAC equipment sold by South Mini Splits is covered by a manufacturer's warranty rather than a separate warranty issued by South Mini Splits.
Warranty duration and eligibility vary by manufacturer, product, installation type, purchaser, and application.
Manufacturer warranties may require:

The customer is responsible for reviewing and satisfying the applicable manufacturer's warranty requirements.
Unless expressly stated otherwise in writing, South Mini Splits does not expand, modify, or replace a manufacturer's warranty.
Our Warranty Policy is incorporated into these Terms by reference.
15. Warranty Claims Do Not Automatically Include Labor
Unless expressly provided by the applicable manufacturer or separately agreed to in writing, equipment warranties generally apply to eligible parts or equipment and do not necessarily cover:

Diagnostic labor

Installation labor
-
Removal
-
Reinstallation
-
Refrigerant
-
Shipping
-
Travel
-
Crane service
-
Access costs

Lost business

Temporary cooling or heating

Property damage
Customers should review the applicable manufacturer's warranty for exact coverage.
16. Commercial and Project Orders
Large commercial orders, project orders, negotiated quotes, purchase orders, bulk purchases, special orders, and other business-to-business transactions may be subject to additional written terms.
If a South Mini Splits quote, invoice, proposal, purchase order acknowledgment, project agreement, or other written agreement contains terms that specifically differ from these website Terms, the transaction-specific written terms will control for that transaction to the extent of the conflict.
Lead times for project orders are estimates unless expressly guaranteed in writing.
Customers should not schedule contractors, cranes, tenant occupancy, construction milestones, or other dependent work solely based on estimated delivery dates.
17. Purchase Orders
A customer's purchase order does not modify these Terms merely because the purchase order contains additional or conflicting boilerplate terms.
Any modification to these Terms must be expressly accepted by South Mini Splits in writing.
Fulfillment of an order does not constitute acceptance of unrelated or conflicting terms printed on a customer's purchase order.
18. Refused and Undeliverable Shipments
Customers are responsible for providing accurate shipping information and cooperating with delivery scheduling.
If a shipment is refused or becomes undeliverable for reasons unrelated to qualifying carrier damage or a South Mini Splits error, the customer may be responsible for shipping, return freight, storage, redelivery, restocking, and other applicable charges.
Specific charges and procedures are described in our Return & Cancellation Policy.
19. Installation Scheduling
Customers should not schedule installation until all necessary equipment has been delivered and inspected.
South Mini Splits is not responsible for contractor cancellation fees, lost labor, hotel expenses, equipment rental, project delays, lost revenue, or other costs caused by shipping delays, incomplete deliveries, damaged freight, backorders, or other fulfillment issues unless expressly agreed to in writing.
20. Refrigerants and Regulated Products
Certain HVAC products contain or are designed to operate with regulated refrigerants.
The purchaser and installer are responsible for complying with applicable federal, state, and local requirements concerning refrigerant handling, recovery, transportation, charging, servicing, and disposal.
Some products may only be sold, installed, serviced, or handled by appropriately qualified or certified persons.
South Mini Splits may restrict or cancel a transaction when required by law or when necessary to comply with manufacturer or regulatory requirements.
21. Customer Accounts
Customers may be permitted to create website accounts.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
Please contact us promptly if you believe your account has been compromised.
We may suspend or terminate accounts used for fraud, abuse, unauthorized activity, harassment, excessive payment disputes, or violations of these Terms.
22. Fraud Prevention
South Mini Splits may use third-party payment processors, identity verification services, fraud-screening systems, address verification systems, or other tools to protect customers and the company.
We may request identification, payment verification, authorization documents, or other reasonable information before fulfilling an order.
We reserve the right to cancel orders that we reasonably believe may involve fraud, unauthorized payment methods, identity theft, reshipping schemes, or other unlawful activity.
23. Chargebacks and Payment Disputes
Customers should contact South Mini Splits promptly if they believe there is a billing error or unresolved order issue.
Nothing in these Terms limits any rights a customer may have under applicable payment-card or consumer-protection law.
However, initiating a payment dispute does not eliminate legitimate contractual obligations relating to merchandise that was properly delivered, accepted, used, installed, or retained.
South Mini Splits may provide order records, delivery confirmations, communications, photographs, invoices, and other relevant documentation to financial institutions or payment processors when responding to payment disputes.
24. Website Use
You may use SouthMiniSplits.com only for lawful purposes.
You may not:

Attempt to gain unauthorized access to the website or related systems;

Interfere with website security or operation;

Use automated systems to scrape or extract substantial portions of the website without permission;

Submit fraudulent orders;

Impersonate another person or business;

We may restrict website access when reasonably necessary to protect the website, our customers, or our business.
25. Intellectual Property
Unless otherwise indicated, website content including text, graphics, branding, photographs, page designs, software, icons, logos, videos, and other materials is owned by South Mini Splits, its licensors, its manufacturers, or other applicable rights holders.
Manufacturer names and trademarks remain the property of their respective owners.
Website content may not be reproduced, distributed, commercially exploited, or republished without appropriate authorization.
26. Reviews and User-Submitted Content
If you submit a review, photograph, testimonial, question, comment, or other content to South Mini Splits, you represent that you have the right to provide that content.
You grant South Mini Splits permission to use, reproduce, display, and distribute submitted content for legitimate business and promotional purposes, subject to applicable law and our Privacy Policy.
You may not submit unlawful, fraudulent, defamatory, infringing, threatening, or malicious content.
27. Electronic Communications
By conducting business electronically, you agree that we may provide order confirmations, invoices, shipping notices, policy notices, warranty information, and other transaction-related communications electronically.
Providing a telephone number may allow us to contact you regarding your order, delivery, quote, support request, or account.
Marketing email or text messages will be handled according to applicable consent requirements and any available opt-out mechanisms.
If you opt in to SMS messages from South Mini Splits, you may receive order-related text messages and promotional messages. Message frequency may vary. Message and data rates may apply. Text STOP to opt out or HELP for assistance. Consent to receive promotional messages is not a condition of purchase.
By contacting us, you agree to our Privacy Policy and these Terms of Service, including the applicable SMS messaging disclosures.
28. Third-Party Services
Our website may contain links to or integrations with manufacturers, financing companies, payment processors, shipping carriers, review platforms, social networks, or other third-party services.
South Mini Splits does not control every third-party website or service and is not responsible for their independent terms, policies, availability, or conduct.
Use of third-party services may be subject to separate agreements between you and the third party.
29. Website Availability
We do not guarantee that the website will always be uninterrupted, secure, or error-free.
We may modify, suspend, discontinue, or maintain portions of the website at any time.
Temporary website outages do not invalidate orders already accepted or other contractual obligations.
30. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the website and its informational content are provided on an “as available” basis.
Except for warranties expressly provided in writing or warranties that cannot legally be disclaimed, South Mini Splits makes no additional warranty regarding website availability, product suitability for a particular application, or the accuracy of customer-provided system selections.
Nothing in this section limits an applicable manufacturer's written warranty.
31. Limitation of Liability
To the maximum extent permitted by applicable law, South Mini Splits will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the use of the website or the purchase, installation, operation, delay, failure, or misuse of products.
This includes, where permitted by law, claims involving lost profits, lost revenue, loss of use, contractor scheduling costs, business interruption, lodging, temporary HVAC equipment, or project delays.
South Mini Splits is not responsible for damage caused by improper equipment selection, improper installation, unauthorized modification, incorrect electrical service, incorrect refrigerant practices, failure to follow manufacturer instructions, abuse, neglect, or inadequate maintenance.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
32. Indemnification
To the extent permitted by law, you agree to indemnify and hold South Mini Splits harmless from claims, losses, liabilities, and reasonable expenses arising from your unlawful use of the website, violation of these Terms, misuse or unauthorized modification of products, or violation of the rights of another person.
This provision does not apply to claims caused by South Mini Splits to the extent liability cannot legally be shifted under applicable law.
33. Force Majeure
South Mini Splits will not be responsible for delays or failures caused by circumstances reasonably outside our control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, government action, labor disruptions, epidemics, transportation interruptions, carrier failures, manufacturer shortages, supply-chain disruptions, power outages, internet failures, or similar events.
34. Privacy
Use of SouthMiniSplits.com is also subject to our Privacy Policy.
Our Privacy Policy describes how personal information may be collected, used, stored, and shared.
35. Changes to These Terms
We may update these Terms from time to time.
Changes become effective when posted unless a different effective date is stated.
The Terms applicable to a transaction are generally the version in effect when the applicable order was placed, except where later changes are required by law or separately agreed to.
36. Severability
If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
37. No Waiver
Failure by South Mini Splits to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or another provision later.
38. Entire Agreement
These Terms, together with any applicable quote, invoice, written transaction-specific agreement, Privacy Policy, Return & Cancellation Policy, Shipping & Delivery Policy, and Warranty Policy, constitute the applicable agreement between the customer and South Mini Splits regarding the transaction.
39. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any legal action relating to these Terms or a transaction with South Mini Splits shall be brought in an appropriate court located in Dallas County, Texas, unless applicable law requires another venue.
Nothing in these Terms limits rights or remedies that cannot lawfully be waived.
